    1. Application: To participate in our retail distribution program, you must submit an application providing relevant information about your business, such as business name, address, tax identification number, and any other details required by the Company.
    2. Approval: Our team will review your application and reserves the right to accept or reject it at our sole discretion. We may request additional information or documents to verify your eligibility for the retail distribution program.
    3. Obligations: As a retail distributor, you agree to purchase products from the Company for resale purposes only. You must comply with any product pricing, packaging, marketing, and advertising guidelines provided by the Company.
    4. Orders and Payments: You may place orders for products through our designated channels. All orders are subject to availability and acceptance by the Company. You agree to make timely payments for all orders placed, including applicable taxes, shipping fees, and any other charges as specified by the Company.
  3. Wholesale Distribution Program:
    1. Application: To participate in our wholesale distribution program, you must submit an application providing relevant information about your business, such as business name, address, tax identification number, and any other details required by the Company.
    2. Approval: Our team will review your application and reserves the right to accept or reject it at our sole discretion. We may request additional information or documents to verify your eligibility for the wholesale distribution program.
    3. Obligations: As a wholesale distributor, you agree to purchase products from the Company in bulk for the purpose of resale to other businesses or customers. You must comply with any product pricing, packaging, marketing, and advertising guidelines provided by the Company.
    4. Orders and Payments: You may place wholesale orders through our designated channels. All orders are subject to availability and acceptance by the Company. Wholesale pricing, minimum order quantities, and payment terms will be communicated to you separately.
  4. Intellectual Property:
    1. Ownership: The Company retains all intellectual property rights in its products, trademarks, logos, and other materials. You agree not to use, reproduce, modify, or distribute any of our intellectual property without prior written consent.
    2. Marketing and Promotion: Subject to these Terms, we may provide you with marketing materials and guidelines for promoting the products. You agree to use such materials strictly in accordance with our instructions and guidelines.
  5. Termination:
    1. Termination by Company: The Company may terminate your participation in the retail or wholesale distribution program at any time without prior notice if you breach these Terms, violate any applicable laws, or engage in any fraudulent or harmful activities.
    2. Termination by User: You may terminate your participation in the retail or wholesale distribution program by providing written notice to the Company. Any outstanding obligations or liabilities shall survive termination.
  6. Limitation of Liability:
    1. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR PARTICIPATION IN THE RETAIL OR WHOLESALE DISTRIBUTION PROGRAMS.
  7. Governing Law and Dispute Resolution:
    1. These Terms shall be governed by and construed in accordance with the laws of CALIFORNIA. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of CALIFORNIA.
  8. Modifications:
    1. The Company reserves the right to modify or update these Terms at any time, and such modifications shall be effective upon posting on our website or notifying you through other means. Your continued participation in the retail or wholesale distribution programs after such modifications will constitute your acceptance of the revised Terms.
  9. Entire Agreement:
    1. These Terms constitute the entire agreement between you and the Company regarding your participation in the retail and wholesale distribution programs and supersede any prior agreements or understandings.
